1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Romarex digital platform. By using the Platform, you agree to be bound by these Terms.

2. Platform Role & Legal Status

Romarex Global LLC operates solely as a technology platform providing digital membership-based access to informational tools, product visibility, and pricing insights.

Romarex does not act as:

• Seller
• Reseller
• Distributor
• Marketplace facilitator
• Commercial agent
• Merchant-of-Record
• Payment processor

Romarex does not:

• Take title to goods
• Take possession of goods
• Set final retail pricing
• Collect customer payments
• Issue tax invoices
• Process refunds
• Control fulfillment

All sales transactions occur exclusively between the customer and the applicable Merchant-of-Record.

3. Dual Merchant-of-Record Structure

3.1 Digital Membership Transactions

• Sold by Nexway as Merchant-of-Record
• Processes payments
• Issues invoices
• Calculates and remits applicable taxes
• Determines refund eligibility

Romarex does not collect, process, or store payment data for memberships.

3.2 Physical Product Transactions

• Sold by ExpandNow as Merchant-of-Record
• Processes payments
• Issues invoices
• Calculates and remits taxes
• Handles compliance obligations

Romarex does not process or receive payment for physical goods.

3.3 No Financial Custody

Romarex does not receive, hold, transmit, or control customer funds at any time. All payment flows occur directly between the customer and the applicable Merchant-of-Record.

4. No Unified Transaction Structure

• Digital membership and physical product purchases are legally separate.
• Processed by different Merchant-of-Record entities.
• Subject to different refund and compliance frameworks.
• No combined or bundled transaction is created.

Membership purchase does not obligate ExpandNow to accept product orders.

5. Membership Classification

• Digital platform access
• Informational product visibility
• Pricing insights
• Access-based digital features

Membership does not:

• Guarantee product availability
• Guarantee pricing levels
• Grant ownership of goods
• Create partnership, agency, franchise, or resale rights
• Obligate any product purchase

6. Digital Delivery & Consumer Acknowledgment

By purchasing a digital membership, you consent to immediate activation upon payment confirmation. Access may begin before any statutory withdrawal period expires, and withdrawal rights may be limited once digital access begins. Refund eligibility is determined solely by Nexway.

7. Physical Goods & Fulfillment

Physical goods are supplied by independent third-party suppliers, with ExpandNow acting as Merchant-of-Record.

• Shipping, returns, warranties, and compliance handled by ExpandNow or suppliers
• No inventory control by Romarex
• No delivery guarantees
• No warranties or returns handled by Romarex

8. Taxes

Applicable indirect taxes (VAT, sales tax, GST, etc.) are calculated, collected, reported, and remitted by the relevant Merchant-of-Record (Nexway for memberships, ExpandNow for goods).

9. Pricing & Information Disclaimer

Product listings, availability, and pricing are informational only and subject to change. Final pricing and taxes are determined at checkout by the Merchant-of-Record.

10. Intellectual Property

All platform content, design, branding, software, and database structure are the property of Romarex or its licensors. Unauthorized copying, scraping, or commercial use is prohibited.

11. Acceptable Use

• No law violations
• No interference with platform functionality
• No unauthorized access attempts
• No fraudulent activity or unjustified chargebacks

12. Disclaimer of Warranties

The platform is provided “as is” without warranties of merchantability, fitness for purpose, or uninterrupted operation.

13. Limitation of Liability

Romarex is not liable for indirect damages, lost profits, or third-party disputes. Total liability is limited to amounts paid for platform access within the last 12 months.

14. Force Majeure

Romarex is not responsible for delays caused by events beyond reasonable control, including processor failures, supplier delays, government actions, or internet disruptions.

15. Indemnification

You agree to indemnify Romarex against claims arising from misuse of the platform, violation of these Terms, or legal breaches.

16. Dispute Resolution & Arbitration

Disputes are resolved through binding arbitration in Wyoming, USA, under AAA rules, with waiver of jury trial and class actions where permitted by law.

17. Age Requirement

The platform is intended for users 18 years or older.

18. Governing Law

These Terms are governed exclusively by Wyoming state law, United States.

19. Updates

Romarex may update these Terms at any time. Continued use of the Platform constitutes acceptance of revised Terms.
